These Pilot Terms and Evaluation Terms ("Terms") govern your access to and use of SpendRefine during its private pilot, evaluation, testing, or proof-of-concept period.
SpendRefine ("SpendRefine," "we," "our," or "us") is a pilot-stage lead quality, ROI visibility, and ad spend analysis tool being developed for agencies that manage Google Local Services Ads accounts and for authorized local service businesses that manage their own advertising accounts.
SpendRefine may be used by agencies, authorized business users, account owners, or representatives of local service businesses participating in the pilot.
By accessing SpendRefine, participating in the pilot, connecting an advertising account, or using any pilot-related feature, report, workflow, analysis, or communication, you agree to these Terms.
If you do not agree to these Terms, do not use SpendRefine.

1. Pilot and Evaluation Use

SpendRefine is currently offered for private pilot and evaluation purposes.
The pilot is intended to test technical feasibility, data availability, workflow usefulness, reporting value, and product-market fit with selected participants.
SpendRefine is not yet a fully launched commercial product. Features, workflows, reports, analysis methods, supported data sources, and account connection methods may be updated, limited, changed, or removed during the pilot.
The pilot is not intended for mission-critical business operations.

2. Business Use Only

SpendRefine is intended for business use only.
By using SpendRefine, you represent that you are using the service on behalf of a business, agency, organization, or professional advertising account, and not for personal, household, or consumer purposes.
If you use SpendRefine on behalf of a business, agency, client, or organization, you represent that you have authority to do so.
If you are an agency using SpendRefine on behalf of a client, you represent that you have obtained all necessary permissions from the client or account owner to connect the advertising account, process lead and call data, and participate in the pilot.

3. Account Authority

You represent and warrant that:
If you are an agency connecting a client account, you are responsible for obtaining any required client authorization before using SpendRefine.

4. Google OAuth Authorization

SpendRefine may connect to supported Google Ads accounts through Google's official OAuth authorization process.
You do not share your Google password with SpendRefine.
When you connect an account, Google may display an authorization screen describing the access requested. You are responsible for reviewing that authorization screen before granting access.
You may revoke SpendRefine's access at any time through your Google Account permissions.
After access is revoked, SpendRefine will no longer be able to access new data through that authorization. Previously processed pilot data may be retained or deleted as described in our Privacy Policy or as otherwise agreed in writing.

5. Google API and Platform Dependency

Some SpendRefine features depend on third-party platforms, including Google Ads and Google APIs.
During the pilot, SpendRefine will use commercially reasonable efforts to test and maintain supported integrations. However, third-party platforms may change their APIs, permissions, policies, available data, access rules, or technical behavior.
If a third-party platform change affects pilot functionality, SpendRefine may modify, pause, replace, or discontinue affected pilot features.
Because this is an evaluation-stage service, SpendRefine does not guarantee that every tested feature will remain available after the pilot or become part of a future commercial product.
If a material pilot feature becomes unavailable, we will make reasonable efforts to explain the issue, identify whether an alternative workflow is possible, and decide whether the pilot can continue.

6. No Password Collection

SpendRefine does not ask for, collect, or store your Google password.
You should never send us your Google password, advertising account password, or other login credentials.
If someone asks you to provide a password on behalf of SpendRefine, do not provide it and contact us at:

7. Pilot Functionality

During the pilot, SpendRefine may help evaluate or analyze:
For agencies, the pilot is intended to evaluate whether SpendRefine can help review lead quality across managed client accounts, reduce manual call review, improve reporting, and support more consistent lead quality feedback workflows.
For authorized local service businesses, the pilot is intended to evaluate whether SpendRefine can help review lead quality for their own connected accounts, reduce manual call review, improve visibility into call outcomes and ad spend, and support more consistent lead quality feedback workflows.
Where available and authorized, SpendRefine may also test whether call recordings, transcripts, summaries, or automated lead classifications can support lead quality analysis.
Not all data may be available for every account. Availability depends on the connected account, platform permissions, API behavior, account history, and third-party platform rules.

8. Automated Analysis and AI Outputs

SpendRefine may use automated systems, artificial intelligence, transcription, classification, or analysis tools during the pilot.
Some pilot workflows may run automatically after account authorization, depending on the configuration being tested.
Automated outputs may include summaries, classifications, lead quality indicators, call outcome indicators, diagnostic results, or reporting suggestions.
Automated outputs are intended to support business evaluation and workflow testing. They may be incomplete, inaccurate, delayed, or based on limited available data.
During the pilot, automated outputs should not be treated as final legal, financial, billing, compliance, employment, or customer dispute determinations.
You remain responsible for how you use pilot results in your business.

9. Lead Feedback and Account Actions

During the pilot, SpendRefine is designed primarily for analysis, reporting, evaluation, and workflow testing.
SpendRefine will not intentionally submit lead feedback to Google or make material account-changing actions unless one of the following applies:
If lead feedback is submitted with your approval, you are responsible for ensuring that the feedback is accurate, authorized, and appropriate.
SpendRefine does not guarantee that any lead feedback will result in a refund, credit, billing adjustment, account improvement, or specific platform decision.
If you are an agency, any approval you provide for lead feedback or account-related pilot workflows must be based on appropriate authorization from the relevant client or account owner.

10. No Refund or Credit Guarantee

SpendRefine is not a refund guarantee service.
SpendRefine does not guarantee:
Any refund, credit, billing, policy, or account decision made by Google or another advertising platform is controlled by that platform, not by SpendRefine.

11. Call Recordings, Transcripts, and Lead Data

Where available and authorized, SpendRefine may process call recordings, transcripts, summaries, lead details, call metadata, or related advertising data as part of the pilot.
You represent that you have the necessary rights, permissions, and authority to allow SpendRefine to process the data you authorize, including call recordings and related lead data.
You are responsible for ensuring that your use of call recordings, transcripts, summaries, and lead analysis complies with laws, platform rules, client agreements, consent requirements, and internal business policies that apply to you.
SpendRefine may generate transcripts, summaries, classifications, or analysis from call recordings or lead data. These outputs may be imperfect and should be treated as pilot-stage analysis.

12. Data and Privacy

Our collection, use, storage, and deletion of information is described in our Privacy Policy.
By using SpendRefine, you acknowledge that we may collect, process, store, and use information as described in our Privacy Policy.
SpendRefine's use of information received from Google APIs is intended to comply with applicable Google API Services requirements, including Limited Use requirements.
SpendRefine does not sell Google user data.
SpendRefine does not use Google user data for unrelated advertising.
SpendRefine does not use Google user data to train general-purpose AI models.
SpendRefine does not use Google user data to build unrelated products or services.

13. Data Location

SpendRefine is intended for agencies and authorized local service business users in the United States.
Our servers and primary infrastructure are intended to be located in the United States.
If you access SpendRefine from outside the United States, you understand that information may be processed and stored in the United States.

14. Confidentiality

During the pilot, either party may receive non-public information from the other party.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the pilot, evaluation, testing, support, troubleshooting, or operation of SpendRefine.
Confidential information does not include information that is publicly available, independently developed, lawfully obtained from another source, or already known without confidentiality obligations.

15. Pilot Feedback

You may provide feedback, comments, ideas, suggestions, bug reports, feature requests, or other input about SpendRefine.
You grant SpendRefine the right to use that feedback without restriction or compensation for purposes including product improvement, troubleshooting, development, commercialization, and future service design.
We will not publicly identify you as a pilot participant without your permission.

16. Fees During the Pilot

Unless otherwise agreed in writing, participation in the private pilot is free.
If any paid pilot, evaluation fee, setup fee, or paid service arrangement is agreed, the applicable payment terms must be documented separately in writing.
If a paid pilot arrangement is agreed and a core pilot function becomes materially unavailable for reasons within SpendRefine's reasonable control, SpendRefine may, at its discretion, provide an extension, service credit, refund, or cancellation option for the affected portion of the pilot.
No paid commercial subscription is created unless separately agreed in writing.

17. Availability During the Pilot

SpendRefine will use reasonable efforts to make the pilot available for testing.
Because SpendRefine is in a private pilot stage, the service may occasionally be unavailable, interrupted, delayed, or limited due to development work, maintenance, third-party platform behavior, API issues, security review, or technical testing.
SpendRefine does not provide a commercial uptime commitment during the pilot unless a separate written pilot agreement says otherwise.
We will use reasonable efforts to communicate material pilot interruptions when practical.

18. Acceptable Use

You agree not to:
  • Use SpendRefine for unlawful, fraudulent, deceptive, abusive, or harmful purposes.
  • Connect accounts you are not authorized to access.
  • Submit false or misleading lead feedback.
  • Use SpendRefine to violate Google policies or third-party platform rules.
  • Attempt to bypass security, access controls, or authorization flows.
  • Reverse engineer, copy, resell, sublicense, or misuse SpendRefine.
  • Upload or transmit malware, harmful code, or unauthorized data.
  • Interfere with the security, operation, or availability of SpendRefine.
  • Use pilot outputs to harass, discriminate, defame, or unlawfully target any person.

19. Third-Party Services

SpendRefine may interact with third-party platforms, including Google Ads and related Google services, only when authorized by you.
Your use of third-party platforms is governed by their own terms, policies, and account rules.
SpendRefine is not responsible for third-party platforms, third-party decisions, account actions taken by third parties, API availability, data availability, policy changes, or service interruptions caused by third-party providers.

20. Compliance With Platform Rules

You agree not to use SpendRefine in a way that would cause SpendRefine or you to violate applicable Google terms, Google Ads API policies, Google Ads account rules, advertising platform policies, or other third-party platform requirements.
If a platform rule, API policy, account rule, or legal requirement requires SpendRefine to limit, change, suspend, or stop a pilot feature, SpendRefine may do so.

21. Independent Tool

SpendRefine is an independent tool and is not affiliated with, endorsed by, sponsored by, or officially connected to Google.
Google, Google Ads, and Local Services Ads are trademarks of Google LLC.
SpendRefine uses those terms only to describe compatibility, account connection, or the advertising platforms the pilot is designed to evaluate.

22. Intellectual Property

SpendRefine and its website, software, workflows, reports, documentation, designs, names, trademarks, and related materials are owned by SpendRefine or its licensors.
These Terms do not transfer ownership of SpendRefine or its intellectual property to you.
Subject to these Terms, SpendRefine grants you a limited, revocable, non-exclusive, non-transferable right to use the pilot service for internal business evaluation purposes during the pilot period.

23. Your Data

As between you and SpendRefine, you or the relevant account owner retain ownership of the business data, advertising data, client account data, and account data authorized for processing through SpendRefine.
If you are an agency, you represent that you have the necessary rights and permissions to authorize SpendRefine to process client account data for pilot purposes.
If you are a local service business user, you represent that you have the necessary rights and permissions to authorize SpendRefine to process your business account data for pilot purposes.
You grant SpendRefine permission to process such data as necessary to provide, test, troubleshoot, secure, improve, and evaluate the pilot service, consistent with these Terms and our Privacy Policy.

24. No Professional Advice

SpendRefine provides analytics, reporting, automation, and evaluation tools.
SpendRefine does not provide legal, tax, accounting, financial, advertising, compliance, or professional advice.
You are responsible for your own business decisions and for consulting qualified professionals where appropriate.

25. Disclaimers

THE PILOT SERVICE IS PROVIDED ON AN EVALUATION BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDREFINE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.
SPENDREFINE DOES NOT WARRANT THAT THE PILOT WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT EVERY FEATURE, OUTPUT, TRANSCRIPT, CLASSIFICATION, REPORT, OR RESULT WILL BE ACCURATE OR COMPLETE.
Some jurisdictions do not allow certain warranty limitations, so some of these limitations may not apply to you.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDREFINE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, ADVERTISING LOSSES, OR LOST BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDREFINE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PILOT SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID TO SPENDREFINE FOR THE PILOT IN THE THREE MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.

27. Indemnification

You agree to defend, indemnify, and hold harmless SpendRefine from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
  • Your use of SpendRefine
  • Your connected advertising accounts
  • Your violation of these Terms
  • Your violation of law, policy, platform rules, or third-party rights
  • Your approval or submission of lead feedback
  • Your failure to obtain required authorization from an account owner, client, agency, or business
  • Your use of call recordings, transcripts, summaries, classifications, reports, or analytics

28. Suspension and Termination

SpendRefine may suspend or terminate your pilot access if we believe:
  • You violated these Terms.
  • Your use creates legal, security, operational, platform, or reputational risk.
  • You are using the pilot in an unauthorized or harmful way.
  • A third-party platform requires or recommends limiting access.
  • The pilot ends.
  • SpendRefine decides not to continue testing with your account.
You may stop using SpendRefine at any time.
You may revoke Google account access through your Google Account permissions.
You may also contact us to request pilot data deletion as described in our Privacy Policy.

29. Changes to the Pilot

SpendRefine may update, modify, pause, replace, or discontinue pilot features at any time.
Because the pilot is designed for testing and evaluation, supported workflows, integrations, reports, data fields, automations, and analysis methods may change during the pilot.
We may also decide not to launch a commercial version of SpendRefine.

30. Changes to These Terms

SpendRefine may update these Terms from time to time.
If we make material changes, we will update the "Last Updated" date above and may provide additional notice where appropriate.
Your continued use of SpendRefine after updated Terms become effective means you accept the updated Terms.

31. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
The state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising from or related to these Terms or SpendRefine, unless applicable law requires otherwise.
